Terms and Conditions Use of the Cekat.AI Service
These Terms and Conditions of Use for Cekat.AI (“Cekat.AI Terms and Conditions”) govern the terms and conditions of use of the Cekat.AI Service (as defined below) by you (“you” or “User”), including any and all Features (as defined below) therein, which are developed, operated, and/or provided by PT Teknologi Cekat Indonesia (“Cekat.AI” or “We”).
Terms and Definitions
1.1. “Cekat.AI,” as the context requires, refers to PT Teknologi Cekat Indonesia as the provider of an Artificial Intelligence (AI)-based Omnichannel CRM platform that enables the automation of customer interactions, cross-channel communication management, and the improvement of customer service operational efficiency through AI technology, and is known by the trademark Cekat.AI.
1.2. “Account” means the collection of information about you provided to Cekat.AI in connection with your use of the Cekat.AI Services, which Cekat.AI uses to distinguish one User from another. Within the Account, Users may configure settings, view transaction history generated by the User while using the Cekat.AI Services, and/or submit changes to User Data.
1.1. “You” or “User” refers to an individual, legal entity, or other entity that has registered and been verified by Cekat.AI as a User. For the avoidance of doubt, depending on the context, “You” refers to any of the aforementioned parties that have not yet been verified as a User
1.3. “Cekat.AI Service Fees” means the fees that Cekat.AI may charge the User for the use of the Cekat.AI Service.
1.4. “Data” or “Information” refers to any data, information, and/or details in any form that, from time to time, you or the User provide to Cekat.AI or that you or a User include or provide in, on, or through Cekat.AI, including but not limited to data in the Account such as name, email address, and/or phone number generated or obtained from accessing Cekat.AI and/or using the Cekat.AI Services.
1.5. “Feature” means a specific function or capability within a Cekat.AI Service created, developed, and/or managed by Cekat.AI, and which may be used, enjoyed, and/or utilized by Users through the Cekat.AI Platform.
1.6. “Business Day” means a day on the Gregorian calendar, excluding Saturdays, Sundays, official national holidays, and other days designated by the Indonesian government as national holidays, on which banks in Indonesia operate commercially.
1.7. “Service,” as the context requires, refers to each service covered by the Cekat.AI Service, including any and/or all available Features.
1.8. “Cekat.AI Services” means all services accessible to the User through Cekat.AI, including, but not limited to, Chat Services, CRM Services, or other services that may be operated, provided, offered, and made available, modified, and/or added from time to time by Cekat.AI itself or in collaboration with Cekat.AI Partners.
1.9. “Cekat.AI Partner” means a third party that collaborates with Cekat.AI, either directly or indirectly, to assist Cekat.AI in providing the Cekat.AI Services in accordance with the licenses it has obtained and/or Applicable Laws and Regulations.
1.10. “Applicable Laws and Regulations” means any Indonesian government regulations at the national, provincial, regency, city, and other local government levels, as well as regulations of other government agencies and bodies, including the written and unwritten policies of such agencies and bodies.Account Registration and Verification Process
2.1. You must be at least 17 (seventeen) years of age and legally competent to create an Account on Cekat.AI. If you are a minor or under guardianship, you are not permitted to use the Cekat.AI Services available on Cekat.AI without the supervision and consent of your guardian. For those who are not legally competent, all of your actions will be the responsibility of your guardian and/or legal representative.
2.2. To create an account, please register through Cekat.AI by providing the following information:
• full name;
• phone number;
• email address; and
• password.
2.3. Cekat.AI will send a verification link to your email. You can then log in to Cekat.AI.
2.4. Cekat.AI reserves the full right and authority to reject your account creation request if Cekat.AI determines that the information you have provided is inaccurate and/or incomplete, or if Cekat.AI is prohibited by applicable laws and regulations from providing Cekat.AI Services to you. Cekat.AI (to the extent permitted by applicable laws and regulations) is under no obligation to provide a reason for rejecting your Account verification request.
2.5. If you already have an account registered with Cekat.AI, you may not register another account using the same personal information as the first account you registered, unless Cekat.AI provides you with written permission to do so.General Terms of Account Use
3.1. Users shall be fully responsible for the security and confidentiality of their Accounts and the Data contained therein, including but not limited to their Account names, email addresses, and passwords, as well as any verification codes generated and sent to Users by the Cekat.AI system or Cekat.AI Partners.
3.2. The User releases Cekat.AI from any and all liability, claims, demands, orders, damages, expenses, costs, and/or lawsuits that may arise from the use (including misuse) of the Cekat.AI Account and Services. If there are indications of unauthorized access to the Account, the User is required to contact Cekat.AI as soon as possible to request assistance from Cekat.AI (via the Cekat.AI Contact feature on Cekat.AI or other communication channels that Cekat.AI may provide from time to time) to investigate, suspend, or terminate the unauthorized access to the relevant Account.
3.3. Cekat.AI reserves the right to suspend all or part of the Cekat.AI Services, including freezing an Account, in the event of any suspicion, potential, and/or indication of a violation of these Cekat.AI Terms and Conditions, the terms and conditions of Cekat.AI Partners (if applicable), and/or applicable laws and regulations.
3.4. Cekat.AI, to the extent permitted by applicable laws and regulations, is under no obligation to provide a reason for suspending all or part of the Cekat.AI Services or freezing an Account as referred to above.Cekat.AI Service Fees
4.1. Cekat.AI may charge a Service Fee for each Cekat.AI Service used by the User.
4.2. The amount of other Cekat.AI Service Fees not specified in these Cekat.AI Terms and Conditions may be set forth in specific terms and conditions that are a derivative and an integral part of these Cekat.AI Terms and Conditions.
4.3. Cekat.AI may change the Cekat.AI Service Fees at any time and will notify the User of such changes through the media designated by Cekat.AI.
4.4. In addition to the Cekat.AI Service Fees set forth in this section, Cekat.AI may, to the extent permitted by applicable laws and regulations, offset the User’s outstanding Cekat.AI Service Fees against funds held by the User.
4.5. Each Cekat.AI Service subscription package includes an initial allocation of a specific amount of WhatsApp Credits and AI Credits, depending on the package type selected by the User.
4.6. Regarding credit usage allocation, the User’s Account status is divided into 2 (two) main phases, namely:
• In Development Phase: This phase occurs during the onboarding, setup, and integration process. During this phase, the User will only be provided with a limited quota of WhatsApp Credits and AI Credits, which are exclusively designated for testing purposes. Details regarding the maximum testing quota limit in this phase vary depending on the package type and the difficulty level of your integration.
• LIVE Phase: This is the operational phase that begins once the setup process is complete and the Account is ready for use (referring to the "LIVE Date" as defined in Section 6.1). Upon entering the LIVE Phase, the User will receive the full allocation of WhatsApp Credits and AI Credits in accordance with the terms of the selected subscription package and any Add-ons (if applicable).
4.7. If the initial credit allocation as referred to in Section 4.6 has been fully used before the end of the current subscription period, the User may purchase additional credits (Add-ons) to continue using the relevant Features.
4.8. Details regarding the initial allocation amount, credit value, and the pricing scheme for purchasing Add-ons can be found in the Cekat.AI Service Fees document, which constitutes an integral and inseparable part of these Terms and Conditions.

4.10. The terms regarding unused credits at the end of the monthly billing period are as follows:
• Package-Included Credits: Remaining allocations of WhatsApp Credits and AI Credits included in the subscription package cannot be carried over (non- rollover). These remaining credits will expire and be reset to the initial allocation amount at the start of each new billing cycle.
• Additional Credits (Add-ons): Remaining WhatsApp Credits and AI Credits from additional purchases (Add-ons) will not expire. These additional credits will be automatically carried over (automatic rollover) and can be used in the next billing period.
4.11. If a User has both Package Credits and Additional Credits at the same time, the system will automatically prioritize deducting from the Package Credits first before using the Additional Credits balance
4.12. If your AI Credits run out before the current billing period ends, the AI feature will be temporarily unavailable until the next billing period begins or until you purchase additional credits.
4.13. The Monthly Active Users (MAU) limit is a flexible cap (soft cap). This means you can still exceed the limit, but usage that exceeds the quota may incur additional charges based on actual usage.
4.14. To help you manage your usage, we will notify you when your usage has reached approximately 80% of the allocated limit.
4.15. All fees related to third-party services or Cekat.AI Partners (including but not limited to Meta, WhatsApp, OpenAI, and similar services) are subject to change at any time in accordance with the pricing policies set by said Cekat.AI Partners.
4.16. You understand and agree that we are not obligated to provide separate or specific notice regarding price changes from such Cekat.AI Partners. Price changes will be immediately applied to the system and listed on your Billing page. Therefore, you are responsible for periodically checking the pricing information on the Billing page. We are not liable for any cost discrepancies arising from such third-party price changes.
4.17. We will assist you in addressing issues related to Cekat.AI Partners, namely Meta or WhatsApp, such as account restrictions, template rejections, and similar matters. However, please note that the resolution process fully follows Meta’s internal policies and procedures. Therefore, resolution times may vary, and we cannot guarantee a specific timeframe for each case. Additionally, we are not responsible for any restrictions or blocking of WhatsApp Business Accounts (WABA) resulting from your messaging patterns or policy violations.
4.18. Terms and further information regarding Service Fees are outlined in the following Cekat.AI Service Fees document.Onboarding and Training
5.1. Each subscription package includes an onboarding session and basic setup at no additional cost, so you can start using the Service. This basic setup service is limited to:
• Standard integration for up to 5 (five) WhatsApp Business accounts;
• Basic training on platform usage for your team; and
• Initial AI configuration at the standard level (basic behavior settings and general knowledge source inputs)
5.2. Complex, custom, or non-standard setup requirements (advanced setup), including but not limited to integration with other third-party software/systems, the creation of advanced automation workflows (custom automation), or advanced AI configuration, are not included in the scope of the free basic setup. If you require these additional services, we will charge a professional fee of IDR 3,000,000 per manday (or as per the agreed workload estimate).
5.3. To ensure the setup process runs smoothly and on schedule, we also require your cooperation in providing the necessary access, credentials, and information no later than 7 (seven) business days from the request.Subscription, Billing, and Payment
6.1. Your subscription period runs according to your chosen plan and begins on the date your account is fully set up and ready for use (“Go-Live Date”).
6.2. Depending on the agreement, billing may be monthly, quarterly, semi-annual, or annual. The next billing date will follow your LIVE Date (for example, if your LIVE Date is the 15th, the next invoice will also be issued on the 15th).
6.3. In some cases, the setup process may be completed before payment is made. In other cases, payment may be required before the setup process begins. This depends on the agreement between Cekat.AI and the User. However, once the setup process begins, any payments made are non-refundable.
6.4. You agree to make full payment for each invoice issued no later than 5 (five) calendar days from the date the invoice is sent (“Standard Payment Deadline”), unless there is another written agreement between you and us (e.g., as stated in a Purchase Order or a specific collaboration agreement) that specifies a different payment period.
6.5. If payment is not made on time, you understand that a late payment penalty of 2% (two percent) per month may be imposed on the outstanding invoice amount. If payment is still not made after the grace period has expired, We reserve the right to restrict or suspend your access to the Services until payment is settled.
6.6. All prices listed and billed are stated in Indonesian Rupiah (IDR) and do not include Value-Added Tax (VAT), unless otherwise stated in writing. The applicable VAT rate will be adjusted in accordance with the tax regulations in effect as of the invoice issuance date, and the tax amount will be automatically added to each of your invoices.
6.7. All payments must be made in full without any deductions or set-offs.
6.8. By confirming an order or submitting a Purchase Order (PO) to us, you acknowledge that the order is final and non-cancellable. If you unilaterally decide to cancel a confirmed order, you will be fully liable to pay 100% of the remaining contract value or agreed investment amount.
6.9. If you decide to terminate the Service before the subscription period ends, you acknowledge that the remaining portion of the contract value that has not yet been utilized may become due and payable immediately.
6.10. After the minimum subscription period has elapsed, either you or we may terminate this Service by providing written notice at least 30 (thirty) days in advance.
6.11. We also reserve the right to suspend or terminate your access to the Service under certain conditions, such as in the event of late or failed payments, a violation of these Terms and Conditions, or if your use poses a potential risk to the system or other users. In such situations, access may be restricted or terminated without prior notice.
6.12. Termination of the Service or cancellation of subscription renewal may be carried out under the following conditions:
• Regular/Monthly Plan: You may terminate your subscription independently via the cancellation menu provided on your Cekat.AI Account dashboard.
• Enterprise and/or Annual Plans: Specifically for users of the Enterprise Plan (governed by a separate Cooperation Agreement/PKS) and/or those opting for an annual subscription term, you must submit a written cancellation notice to us no later than 30 (thirty) calendar days before the subscription period ends or before the next renewal date.
6.13. Please note that renewal prices may be adjusted from time to time. However, any price increase (if any) will not exceed 10% per year. We will also notify you of any such price changes no later than 30 days before the renewal date takes effect.Service Level Agreement (SLA)
7.1. We are committed to providing reliable Services and will provide support through the support channels we have provided.
7.2. Our standard service support is available via a ticket system or helpdesk that you can access at any time. If you require a higher priority level, faster response times, or dedicated support channels, you can upgrade your service level by purchasing additional support packages (Support Add-ons). Details regarding the options and costs of these Support Add-ons can be found in the Cekat.AI Service Fees document.
7.3. Response times will vary depending on the service level you choose, as follows:
• Normal: estimated response within 24 hours
• Dedicated: estimated response within 4 hours
• 24/7 Support: estimated response within 1 hour
7.4. As a standard of Service, online meetings or consultations are not included in the scope of support services. However, the provision of such sessions may be accommodated at no additional cost if previously agreed upon in writing between you and us (for example, as stated in a Purchase Order, Quotation, or specific Collaboration Agreement). If no such written agreement exists, meetings or consultations may still be scheduled separately upon your request and may incur additional professional fees.
7.5. Our support services focus on issues directly related to the platform. For integrations with third parties, we will assist to the best of our ability, subject to existing conditions.
7.6. We are also committed to maintaining platform availability with a 99.5% uptime rate, excluding scheduled maintenance periods.
7.7. If there is scheduled maintenance, we will notify you at least 48 hours in advance so you can make the necessary adjustments.
7.8. In the event that the Service availability (uptime) for a given month falls below 99.5% (ninety-nine point five percent) due solely to a failure of our internal systems, the User is entitled to compensation equal to the total value of the remaining subscription period that has not yet elapsed. However, this guarantee and compensation do not apply if the downtime is caused by:
• Scheduled maintenance that has been previously announced;
• Disruptions, interruptions, or failures in third-party services or supporting partners (including but not limited to cloud server providers, internet service providers, Meta, WhatsApp, or AI technology providers);
• Configuration errors or negligence on the part of the User; or
• Force Majeure.
7.9. We also strive to maintain a high level of platform availability. However, you understand that:
• The service may experience disruptions or downtime from time to time; and
• Scheduled maintenance may be required from time to time.
7.10. You can find more information regarding service levels in the SLA document at SLA DOCUMENT.Prohibited Actions
8.1. Users may only access Cekat.AI and use the Cekat.AI Services, along with any and all available Features, for business purposes without violating applicable laws and regulations or the rights of any third party. When accessing Cekat.AI and/or using the Cekat.AI Services, along with any and all Features contained therein, Users are prohibited from:
• intentionally and without authorization or in violation of the law, intercepting or tapping into the transmission of electronic information and/or electronic documents belonging to other Users, the User’s customers, or Cekat.AI;
• intentionally and without authorization or unlawfully, by any means, altering, adding to, reducing, transmitting, damaging, deleting, moving, or concealing any electronic information and/or electronic documents listed on Cekat.AI, whether of a personal or public nature;
• intentionally and without authorization or in violation of the law, taking actions that result in the disruption of access to Cekat.AI;
• intentionally and without authorization or unlawfully sublicensing, producing, selling, making available for use by others, distributing, providing, or claiming ownership of Cekat.AI, Cekat.AI Services, Features, Materials, or other intellectual property rights belonging to Cekat.AI;
• intentionally and without authorization or unlawfully manipulating, altering, deleting, or damaging part or all of Cekat.AI;
• using Cekat.AI, Cekat.AI Services, and/or Features to engage in activities that involve fraud or violate the rights of third parties, as well as violate the provisions of applicable laws and regulations;
• using programs or performing actions that can access, search for, or obtain information that is not the User’s right from Cekat.AI;
• disrupting the operation or damaging servers or networks connected to Cekat.AI, or disregarding standard procedures, rules, or applicable laws regarding internet connections;
• attempting to access parts of Cekat.AI to which the User does not have access rights;
• committing plagiarism of Materials found on Cekat.AI;
• engaging in or attempting to engage in reverse engineering, decompilation, or disassembly of the programming code, algorithms, or structures contained within Cekat.AI, or that may directly or indirectly interfere with or damage the operational systems of Cekat.AI;
• engage in, instruct, participate in, assist with, or facilitate any activity that violates applicable laws, breaches these Cekat.AI Terms and Conditions, infringes upon the rights of third parties, or is in bad faith while accessing Cekat.AI; and/or
• engaging in any actions, including within or through Cekat.AI, that may damage or disrupt Cekat.AI’s reputation.
8.2. using emulators and/or other similar software—defined as tools capable of mimicking or emulating the behavior of compatible programs or applications on a device so that they can be run on another device—to access or use Cekat.AI, Cekat.AI Services, and/or Features. Cekat.AI reserves the right to pursue civil litigation or initiate criminal proceedings against any prohibited acts as described in this section or in these Cekat.AI Terms and Conditions in their entirety.Data Protection
9.1. Cekat.AI will always protect Users’ personal data in accordance with these Cekat.AI Terms and Conditions and applicable laws and regulations.
9.2. Further provisions regarding the security of Users’ personal data can be accessed via Privacy Policy Cekat.AI which is an integral part of these Cekat.AI Terms and Conditions.Compliance with Applicable Laws and Regulations
10.1. Without prejudice to other compliance obligations, Cekat.AI shall always:
• strives to comply with all provisions of applicable laws and regulations. In this regard, Cekat.AI may at any time request additional data if, in Cekat.AI’s discretion, it is deemed necessary to fulfill obligations under applicable laws and regulations.
• conduct: (i) screening of prospective Users by referring to blacklists developed by Cekat.AI and/or issued by national and international authorities, and (ii) monitoring of Users’ use of the Services.
• We are committed to prohibiting and refraining from engaging in bribery or corruption in any form, including but not limited to offering, accepting, or permitting acts of bribery. Cekat.AI employees are prohibited from offering or accepting bribes or other illegal payments, or participating, either directly or indirectly, in bribery practices involving government officials and/or any other parties.
10.2. Efforts to ensure compliance with applicable laws and regulations are not limited to Cekat.AI; in this regard, Cekat.AI Partners (including Overseas Partners) have rights and obligations similar to those of Cekat.AI.Representations and Warranties The User unconditionally represents and warrants as follows:
11.1. The User is a legally competent party (not legally incapacitated; including of legal age as defined in Section 2.1), is not under duress or threat (not lacking free will), and has the capacity and authority to agree to, be bound by, and fulfill all of their rights and obligations under these Cekat.AI Terms and Conditions.
11.2. The funds used for transactions with Cekat.AI have not been obtained unlawfully or in connection with any criminal offense, including but not limited to theft, fraud of any kind, money laundering, proceeds of corruption, proceeds of gambling, illegal logging, and other criminal offenses under applicable laws and regulations; and the User has the right or authority to issue and/or provide Instructions.
11.3. All Data, whether already provided or submitted by the User, or to be provided or submitted by the User in the future or from time to time, is true, complete, accurate, up-to-date, and not misleading, and does not infringe upon the rights (including but not limited to intellectual property rights) or interests of any party. The submission of Data by the User to Cekat.AI or through Cekat.AI does not conflict with applicable laws and regulations and does not violate any deeds, agreements, contracts, covenants, or other documents to which the User is a party.
11.4. The User hereby assumes full responsibility for the completeness and accuracy of all Data provided to Cekat.AI, and shall be liable under both civil and criminal law if any statements made are found to be inconsistent with the actual facts.
11.5. The user hereby releases Cekat.AI from any and all liability and agrees to indemnify Cekat.AI for any losses Cekat.AI may incur as a result of the use of Cekat.AI for actions that violate Applicable Laws and Regulations, including but not limited to theft of funds, fraud of any kind, money laundering, proceeds of corruption, proceeds of gambling, illegal logging, financing of terrorism, and other criminal offenses under Applicable Laws and Regulations.
11.6. The User acknowledges that all communications and instructions from the User made through Cekat.AI and received by Cekat.AI shall be treated as valid communications and instructions from the User. Therefore, Users agree to indemnify and hold Cekat.AI harmless from any and all losses, claims, expenses, damages, liabilities, costs, and/or lawsuits of any kind arising from the performance and use of the Service.
11.7. The User acknowledges and agrees that the use of the Cekat.AI Service shall not be used for any purpose that violates applicable laws and regulations; therefore, the User acknowledges that the User shall be solely responsible for any losses arising from a violation of this provision.
11.8. The User hereby acknowledges and assumes responsibility for any claims, losses, or damages arising from the User’s use of the Service or from a violation of these Terms and Conditions.Restriction of Access Rights and Accounts, Suspension of Services, and Account Closure
12.1. Cekat.AI, at its sole discretion, may restrict a User’s access to Cekat.AI and the Account and/or suspend the Cekat.AI Services temporarily or permanently without prior notice for the following reasons (“Grounds for Suspension”):
• a violation of these Cekat.AI Terms and Conditions committed from the User’s Account;
• a violation of applicable laws and regulations committed through the User’s Account;
• other reasons that may potentially harm Cekat.AI, either directly or indirectly.
12.2. During the period of restricted access and/or suspension of the Cekat.AI Service, Users may not use the Cekat.AI Service, and any and all requests previously submitted to Cekat.AI will not be processed while the User is subject to restricted access and/or service suspension.
12.3. In addition to access restrictions and/or suspension of the Cekat.AI Service as caused by the Grounds for Suspension above, Cekat.AI may at any time impose access restrictions and/or suspend the Cekat.AI Service based on orders from the Competent Regulatory Authority.
12.4. To the extent permitted by applicable laws and regulations, in the event that access to the Cekat.AI Service is restricted and/or the Service is suspended without prior notice as referred to in Section 12.1, Cekat.AI will endeavor to provide written notice to the User regarding such action and the reasons therefor as soon as possible after the suspension or restriction is implemented. Based on the results of the investigation conducted by Cekat.AI, Cekat.AI may decide to: (i) lift the access restrictions and suspension of the Cekat.AI Service and restore to its original state, or (ii) permanently terminate access to and the Cekat.AI Service. The User understands that all losses incurred by the User during the access restriction and suspension of services are the User’s sole responsibility.
12.5. Without prejudice to other provisions in these Cekat.AI Terms and Conditions, Cekat.AI reserves the right to suspend the User’s Account for a specific period or permanently based on considerations or decisions that Cekat.AI deems appropriate at its sole discretion, as follows:
• an official request from the User through the official complaint channel (“Help”) on Cekat.AI and/or the contact details on Cekat.AI Contact;
• Cekat.AI’s policies comply with applicable laws and regulations; and/or
• the cessation of Cekat.AI’s operational activities for any reason.
12.6. The User hereby agrees to indemnify Cekat.AI against any and all losses, claims, expenses, damages, liability for payment of costs, and/or lawsuits of any kind arising from the closure of the Account, including those filed by heirs, executors, administrators, or any third party acting on behalf of the User.
12.7. In the event of Account closure as referred to in the preceding paragraphs above, the User is obligated to settle all of the User’s obligations to Cekat.AI that have arisen and existed prior to the Account closure. The User agrees that these Cekat.AI Terms and Conditions shall remain in effect until all of the User’s obligations have been fulfilled.
12.8. With respect to the closure of a User Account, the User and Cekat.AI agree to waive the provisions of Article 1266 of the Civil Code, insofar as they require a court order for the closure of the Account and/or the termination of these Cekat.AI Terms and Conditions.
12.9. Restriction of access, suspension of Cekat.AI Services, and/or temporary or permanent closure of the Account does not limit Cekat.AI’s right to seek damages, report the User to the authorities, and/or take other actions that Cekat.AI deems necessary to protect Cekat.AI’s interests.
12.10. With regard to promotional programs, Cekat.AI has the sole discretion to select Users who may participate in the promotional programs it organizes and/or to suspend and/or cancel a User’s participation in such promotional programs if the User is found to meet the criteria for suspensionIntellectual Property Rights
13.1. All elements of Cekat.AI, including features, names, trademarks, logos, color schemes, interfaces, text, images, videos, content, programming code, services, and other materials, as well as any combination of the foregoing provided by Cekat.AI (“Materials”), are protected by intellectual property rights under applicable laws and regulations. All intellectual property rights in the Materials belong entirely to Cekat.AI, and Cekat.AI grants the User a limited, non-exclusive, non-transferable, and non-sublicensable license to use the Materials solely and reasonably for the purpose of fulfilling these Cekat.AI Terms and Conditions.
13.2. Users are prohibited from copying, modifying, printing, adapting, translating, creating derivative works from, distributing, or licensing to any party, sell, transfer, duplicate, create derivative works, broadcast via online or offline media, disassemble, or exploit any part of the Materials for their own purposes and/or for purposes outside the scope of these Cekat.AI Terms and Conditions.
13.3. If Cekat.AI identifies any indication or suspicion of a violation of these Cekat.AI Terms and Conditions, particularly regarding intellectual property rights, Cekat.AI reserves the right to conduct a further investigation, terminate the User’s access to Cekat.AI and the Cekat.AI Services, including all features therein, and take other legal actions to address such indications or suspected violations.
13.4. By using Cekat.AI Services, the User acknowledges and grants us permission to use the User’s company name and logo as a reference in marketing activities, including but not limited to the creation of case studies or other promotional materials.Limitation of Liability and Indemnification
14.1. Cekat.AI always strives to keep Cekat.AI safe, secure, and functioning properly. However, Cekat.AI cannot guarantee that Cekat.AI will operate continuously or always be fully accessible.
14.2. Cekat.AI cannot rule out the possibility that Cekat.AI may at any time be inaccessible, under maintenance, or experience issues requiring immediate resolution by Cekat.AI. Use of Cekat.AI, Cekat.AI Services—including any and all Features—and all Materials contained therein is at the User’s own risk. Cekat.AI, along with the Cekat.AI Services and all Features therein, are provided to the User on an “AS IS” and “AS AVAILABLE” basis.
14.3. Cekat.AI DOES NOT WARRANT THAT THE Cekat.AI SERVICE AND ANY AND ALL FEATURES WITHIN IT WILL ALWAYS OPERATE WITHOUT INTERRUPTION OR THAT THE Cekat.AI AND SUCH FEATURES WILL ALWAYS BE FREE FROM MINOR DEFECTS OR ERRORS THAT DO NOT MATERIALLY AFFECT THEIR PERFORMANCE, OR THAT ALL FEATURES CONTAINED IN THE Cekat.AI IS DESIGNED TO MEET ALL USER NEEDS.
14.4. The User understands and agrees that the Service provided by Cekat.AI is a tool or aid intended to support the User’s operational activities and/or performance. Therefore, all results, outputs, recommendations, and decisions made based on the use of the Service are the User’s sole responsibility. The Company makes no guarantees regarding specific results from the use of the Service, including but not limited to performance improvements, profits, or the achievement of specific business objectives. To the extent permitted by applicable law, the Company shall not be liable for any losses arising in connection with the use of the Service, whether directly or indirectly, including but not limited to material or immaterial losses, loss of profits, loss of data, or other losses.
14.5. The User hereby acknowledges that in providing this Service, Cekat.AI utilizes artificial intelligence (AI) technology to help generate responses and automate various processes. In using the Service, we want you to understand the following:
• Results generated by AI are not always accurate, complete, or fully aligned with your needs
• All output is generated automatically and does not undergo prior review by us
• You retain full control to review, consider, and determine how such output will be used We are not responsible for any results, decisions, or consequences arising from the use of AI-generated output. Therefore, we recommend that you do not rely entirely on AI results, especially for important or high-stakes decisions.
14.6. To the extent permitted by applicable laws and regulations, the User shall be solely responsible for any damage caused to the User’s computer network, mobile phone, applications, or other devices resulting from the use of Cekat.AI.
14.7. To the extent permitted by applicable laws and regulations, Cekat.AI hereby disclaims all liability of any kind or nature, and the User agrees to release Cekat.AI from all liability, claims, demands, orders, damages, expenses, costs, and/or lawsuits of any kind arising out of or in connection with, but not limited to:
• (i) loss of access to Cekat.AI not caused by Cekat.AI’s fault; (ii) loss of anticipated profits or revenue; (iii) loss of data not caused by Cekat.AI’s fault, in any case, whether directly or indirectly;
• any and all indirect, immaterial, incidental, special, or consequential damages arising out of or in connection with the use of or inability to access Cekat.AI, or the use of the Cekat.AI Services, including any and all Features therein, including but not limited to any damages resulting therefrom, whether or not the User has been informed of the possibility of such damages;
• any and all errors and/or omissions by the User, whether direct or indirect and/or intentional or unintentional, in using the Cekat.AI Service. Therefore, Users are advised to always pay attention to and double-check every detail when using the Cekat.AI Service;
• any and all negligence on the part of the User in maintaining the security and confidentiality of the Account name, Account password, password, OTP, secret code, and/or other security codes used to authenticate actions performed by the User;
• The User acknowledges, understands, and agrees that Cekat.AI has a legal relationship only with the User and therefore bears no liability of any kind or form toward the User’s customers;
• an order from the Competent Regulatory Authority or a provision in applicable laws and regulations requiring Cekat.AI to cease providing the Services;
• the inaccuracy, impropriety, and/or incompleteness of any and all Data submitted by the User to Cekat.AI;
• negligence and/or errors, whether intentional or unintentional, whether direct or indirect, and/or committed by the User while accessing Cekat.AI and/or using the Cekat.AI Services, including any and all Features therein, resulting in, including but not limited to, unauthorized access to Cekat.AI and unauthorized use of the Cekat.AI Services;
• Accessing Cekat.AI and/or using the Cekat.AI Services, along with any and all Features therein, in a manner inconsistent with these Cekat.AI Terms and Conditions or any other applicable terms (if any);
• malfunctions, bugs, inaccuracies, and defects in Cekat.AI, provided that Cekat.AI has taken all reasonable steps necessary to rectify such issues;
• viruses or other harmful elements obtained by accessing Cekat.AI;
• hacking of Cekat.AI and/or User Accounts by third parties; and/or
• events or causes beyond the control or capability of Cekat.AI, including but not limited to natural disasters, wars, riots, hardware malfunctions, failures of electronic infrastructure or transmission systems, power outages, telecommunications disruptions, clearing system failures, or other matters determined by the Competent Regulator and/or other authorized government agencies.
14.8. Cekat.AI is not liable for User errors and WILL ONLY PROVIDE REASONABLE ASSISTANCE to Users in resolving any issues that may arise from such errors.
14.9. THE USER ACKNOWLEDGES AND AGREES THAT IN THE EVENT THE USER SUFFERS ANY LOSS OR DAMAGE IN CONNECTION WITH THE USE OF THE CEKAT.AI SERVICE THAT IS PROVEN TO HAVE BEEN CAUSED BY AN ERROR OR NEGLIGENCE ON THE PART OF CEKAT.AI, THEN CEKAT.AI’S LIABILITY TO THE USER OR TO ANY THIRD PARTY SUFFERING SUCH LOSSES SHALL BE LIMITED SOLELY TO THE AMOUNT OF THE TRANSACTION FEES ALREADY PAID. The maximum amount that Cekat.AI will be liable for under any circumstances for proven actual (material) losses suffered by the User is limited to the lower of the transaction fees paid (as recorded in the Cekat.AI system).
14.10. Without prejudice to any other provisions of these Cekat.AI Terms and Conditions, the User agrees to release Cekat.AI (including its affiliates, directors, commissioners, shareholders, officers, employees, agents, and/or authorized representatives) from liability for any damages, claims, expenses, payment obligations, lawsuits, and/or demands from any third party in connection with accessing Cekat.AI and/or using Cekat.AI that does not comply with these Cekat.AI Terms and Conditions.
14.11. For the purposes of this section, “affiliate” means (i) with respect to a legal entity: any other party that, directly or indirectly, controls, is under common control with, or is controlled by, Cekat.AI; or (ii) with respect to an individual: any person who has an employment relationship with, or acts as an agent or representative of, Cekat.AI.Force Majeure
15.1. Cekat.AI is exempt from any and all claims, damages, penalties, and liabilities (including but not limited to meeting service availability targets/SLAs and providing compensation) if the delay or failure to fulfill such obligations is caused by Force Majeure.
15.2. Force Majeure refers to events or circumstances occurring beyond the reasonable ability, power, and control of Cekat.AI, which prevent Cekat.AI from fulfilling its obligations. Force Majeure includes, but is not limited to:
• Natural disasters (earthquakes, floods, storms, lightning, fires), disease outbreaks, epidemics, or pandemics;
• War, rebellion, civil unrest, mass riots, terrorism, sabotage, or embargo;
• Changes in policies, regulations, or actions by the government or relevant authorities/regulators;
• Failure, disconnection, or mass disruption of undersea internet networks, national/global telecommunications infrastructure, or power supply;
• Large-scale cyberattacks (such as Distributed Denial of Service/DDoS, hacking, malware, or ransomware) that compromise the system despite Cekat.AI having implemented reasonable industry security standards; and/or
• Disruptions, downtime, unilateral suspension of access, or sudden policy changes by third parties (Cekat.AI Partners) that directly impact the operation of Cekat.AI Services, including but not limited to cloud server service providers, artificial intelligence (AI) technology providers, and third-party messaging service providers (such as Meta or WhatsApp).
15.3. In the event of a Force Majeure, Cekat.AI will make reasonable efforts to notify Users as soon as possible through available channels and will strive to take service restoration measures to the fullest extent possible in accordance with Cekat.AI’s capacity.Dispute Resolution
16.1. All disputes, conflicts, and/or disagreements arising from or in connection with the implementation of these Cekat.AI Terms and Conditions between Cekat.AI and the User (“Disputes”) shall be resolved through consultation and mutual agreement within 30 (thirty) Business Days from the date the Dispute was first notified by one party to the other.
16.2. The parties are obligated to keep confidential all information related to the Dispute, including but not limited to its status and/or resolution process, by refraining from disseminating, announcing, disclosing, or publishing any writings regarding the existence of the Dispute, including but not limited to through the mass media (online, print, television, or other media), social media, and/or other media that could put either party at a disadvantage. If the User violates the above provisions, Cekat.AI reserves the right, at any time and without prior notice (to the extent permitted by applicable laws and regulations), to suspend, deactivate, and/or terminate the User’s access to Cekat.AI and/or Cekat.AI Services, either temporarily or permanently.
16.3. If the consensus-based deliberation referred to in paragraph (1) above cannot be reached, the dispute shall be submitted to the Indonesian National Arbitration Board (BANI), which, at the time these Cekat.AI Terms and Conditions are in effect, is located at Wahana Graha, 2nd Floor, Jl. Mampang Prapatan No. 2, Jakarta 12760. The arbitration proceedings shall be governed by the applicable BANI rules, which are deemed incorporated into these Cekat.AI Terms and Conditions by reference. The arbitration proceedings shall be conducted in Jakarta and in the Indonesian language, with an arbitration panel consisting of 3 (three) arbitrators appointed in accordance with the applicable BANI rules. The arbitral award shall be final and binding on the parties.
16.4. During the dispute resolution process, the User is obligated to continue fulfilling the obligations set forth in these Cekat.AI Terms and Conditions.Risks Associated with Using Cekat.AI Services The User understands that there is a possibility of fraud committed in the name of Cekat.AI. Therefore, Cekat.AI reminds the User to always be cautious when receiving information and to protect the security of the User’s Data and Account from any criminal acts by:
• not sending money to accounts claiming to be Cekat.AI, based on subscriptions, bills, and/or other orders that the User did not create or instruct beforehand;
• Never share your secret codes, passwords, or OTP codes with anyone, including Cekat.AI. Users must always be cautious and never respond to any requests or instructions to share their secret codes, passwords, or OTP codes sent via any medium, including email, websites, text messages, or phone calls;
• If you need to submit questions, requests, and/or complaints, please contact Cekat.AI only using the contact information provided in these Cekat.AI Terms and Conditions, and do not respond to any party claiming to represent Cekat.AI except as specified in these Cekat.AI Terms and Conditions; and/or
• Please contact Cekat.AI immediately and report the issue if you lose access to your Account and/or the device you use to access Cekat.AI, so that we can suspend your Account to prevent unauthorized access to your Account.Cekat.AI Contact
18.1. If the User encounters any issues or has questions, requests, and/or complaints regarding the Account, PT Teknologi Cekat Indonesia, and/or the Cekat.AI Service, the User may contact Cekat.AI via: Email: [email protected]
18.2. Before responding to and/or addressing a User’s questions, requests, or complaints, Cekat.AI and/or a party designated by Cekat.AI will first verify the User’s data. Cekat.AI and/or its designated parties, in their sole discretion, may refuse to respond to and/or address a User’s questions, requests, or complaints if the Data provided by the User during the verification process does not match the Data stored in the Cekat.AI system.Miscellaneous
19.1. These Cekat.AI Terms and Conditions are governed by, construed, and enforced in accordance with the laws of the Republic of Indonesia.
19.2. These Cekat.AI Terms and Conditions encompass the terms, conditions, and regulations governing access to Cekat.AI and the use of Cekat.AI Services, which constitute a valid agreement between Cekat.AI and the User. The User may not transfer the User’s rights and obligations under these Cekat.AI Terms and Conditions to any third party without prior written consent from Cekat.AI.
19.3. These Cekat.AI Terms and Conditions may be modified, amended, or supplemented by Cekat.AI from time to time without prior notice to Users. The updated Cekat.AI Terms and Conditions will be posted on Cekat.AI and/or on this page for Users to access. In the event of any changes, amendments, or additions to these Cekat.AI Terms and Conditions, the latest version of the Cekat.AI Terms and Conditions shall apply. Cekat.AI Users hereby agree not to file any lawsuits, claims, petitions, and/or dispute the validity of Cekat.AI’s Terms and Conditions on the grounds that Cekat.AI has made changes, amendments, or additions. Users are encouraged to check this page from time to time for updates to Cekat.AI’s Terms and Conditions. By continuing to access Cekat.AI and/or use Cekat.AI’s Services, the User acknowledges that they have read, understood, and agreed to be bound by Cekat.AI’s Terms and Conditions as amended, modified, or supplemented by Cekat.AI.
19.4. These Cekat.AI Terms and Conditions shall automatically terminate and be deemed null and void if you, as a prospective User, are unable to access Cekat.AI and/or use the Cekat.AI Services because you are determined not to meet the requirements established by Cekat.AI, Cekat.AI Partners, and/or Applicable Laws and Regulations for accessing and/or using the Cekat.AI.
19.5. If any provision or part of these Cekat.AI Terms and Conditions is found to be invalid, unenforceable, or otherwise inapplicable, such provision or part shall be deemed severed from these Cekat.AI Terms and Conditions, and the remaining provisions of these Cekat.AI Terms and Conditions shall remain in full force and effect.
19.6. These Cekat.AI Terms and Conditions may be translated into languages other than Indonesian. In the event of any discrepancy in interpretation between the Indonesian version and a foreign-language version, the Indonesian version shall prevail, and Users are advised to refer to the Indonesian version.
19.7. By accessing and/or using Cekat.AI services, the User is deemed to have read, understood, agreed to, and bound themselves to comply with all provisions in these Terms and Conditions. The User understands that these Cekat.AI Terms and Conditions are created and prepared as an electronic document as intended under applicable laws and regulations. In the event that these Terms and Conditions are required to be signed by the parties at a later date, the parties agree to sign them electronically, and all costs incurred in connection with such electronic signing shall be the responsibility of the User and may be billed by Cekat.AI.
